Terms and Conditions 1. General 1.1 A2Z Dynamics (Pty) Ltd reserves the right, at its sole discretion, to amend, update, or replace these Terms and Conditions at any time without prior notice. Any such amendments shall take effect immediately upon publication or implementation. 1.2 These Terms and Conditions constitute the entire agreement between the parties. No amendment, variation, or addition shall be of any force or effect unless reduced to writing and signed by you and a duly authorised representative of A2Z Dynamics (Pty) Ltd. 1.3 You agree that any order placed shall be governed by the Terms and Conditions in force at the time the order is placed. 1.4 These Terms and Conditions are final and binding and are not subject to any suspensive or resolutive conditions. 1.5 Any terms and conditions stipulated by you which conflict with these Terms and Conditions are expressly excluded. 1.6 These Terms and Conditions apply to all directors, employees, servants, and agents of A2Z Dynamics (Pty) Ltd. 2. Quotations 2.1 All quotations issued by A2Z Dynamics (Pty) Ltd are valid for a period of seven (7) calendar days from the date of issue, unless otherwise stated in writing. 3. Payment Options and Terms 3.1 A2Z Dynamics (Pty) Ltd accepts the following payment methods:  Electronic Funds Transfer (EFT)  Cash deposits, subject to a 2% bank levy 3.2 Cash on delivery (COD) and cheque payments are not accepted. 3.3 It is your responsibility to determine whether the goods ordered are suitable for their intended purpose. Should you be uncertain regarding the suitability of any product, you are advised to contact A2Z Dynamics (Pty) Ltd prior to placing an order. 3.4 No order shall be binding on A2Z Dynamics (Pty) Ltd until accepted by its management. 3.5 Full payment for all goods ordered is required prior to shipment. 3.6 Where applicable, prices are quoted at the prevailing exchange rate on the date of quotation. Prices may increase due to adverse exchange rate fluctuations. Until payment is received in full, A2Z Dynamics (Pty) Ltd reserves the right to charge any such fluctuations to your account, and you undertake to pay such amounts on demand. 3.7 It remains your responsibility to confirm that no price changes have occurred prior to effecting payment. 4. Shipping Charges 4.1 The total purchase price shall include all applicable shipping and handling charges as reflected on the A2Z Dynamics (Pty) Ltd invoice. 4.2 You undertake to effect payment in accordance with the invoice issued. A2Z Dynamics (Pty) Ltd reserves the right to levy interest on overdue amounts at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is greater. 5. Delivery 5.1 Any delivery note or waybill, whether original or copy, signed by you or a person accepting delivery on your behalf and retained by A2Z Dynamics (Pty) Ltd, shall constitute sufficient proof of delivery. 5.2 Upon delivery, goods must be inspected immediately to confirm that they correspond with the order placed and are free from visible defects or damage. Any discrepancies or visible defects must be recorded on the delivery note or waybill. 5.3 A2Z Dynamics (Pty) Ltd reserves the right, with your prior consent (which shall not be unreasonably withheld), to deliver goods in partial shipments and at such times as it deems appropriate. 5.4 Goods may be dispatched directly from different suppliers and may therefore arrive in separate consignments. 5.5 Should you elect to appoint a third party to transport the goods, you hereby indemnify A2Z Dynamics (Pty) Ltd against any claims, losses, or damages arising from such arrangement. 5.6 While A2Z Dynamics (Pty) Ltd will use reasonable endeavours to meet estimated delivery times, it shall not be liable for any loss or damage arising from delayed delivery, except where such delay results from circumstances within its reasonable control. 6. Pricing 6.1 Prices, specifications, and terms are subject to change without prior notice. You are advised to review all prices, specifications, and terms prior to placing an order. 6.2 The purchase price shall be the current price as reflected on the A2Z Dynamics (Pty) Ltd website at the time the order is accepted. 6.3 Should there be any increase in the cost of goods prior to delivery, including increases arising from taxes, duties, or legislative changes, A2Z Dynamics (Pty) Ltd shall be entitled to increase the price accordingly upon providing reasonable notice. 7. Changes to Orders 7.1 All orders and any variations thereto are subject to these Terms and Conditions. 7.2 Only written orders and written variations will be accepted. Notwithstanding this, A2Z Dynamics (Pty) Ltd reserves the right, at its sole discretion, to accept and act upon telephonic orders or variations. 7.3 A2Z Dynamics (Pty) Ltd reserves the right to refuse delivery or collection of any order until a written order has been received. 8. Cancellation of Orders 8.1 Requests for order cancellation prior to delivery must be submitted in writing. 8.2 Deposits paid for specially ordered or manufactured goods are non-refundable in the event of cancellation. 8.3 A2Z Dynamics (Pty) Ltd reserves the right to cancel any order should the goods become unavailable due to circumstances beyond its reasonable control. 9. Processing Times 9.1 Orders are processed within approximately three (3) to five (5) business days, subject to stock availability and verification of payment. 9.2 Same-day shipping is not guaranteed. Orders are not processed on weekends or public holidays. 10. Back Orders 10.1 You will be notified of any delays in obtaining or delivering goods. 10.2 Unavailable items will be placed on back order, and available items may be shipped separately. 10.3 Delivery dates are estimates only and are not guaranteed. 10.4 If a back order remains unfulfilled for thirty (30) days from the order date, you may cancel the agreement by providing seven (7) days’ written notice. 11. Guarantees and Warranties 11.1 To the extent permitted by law:  Goods are supplied subject to the manufacturer’s warranty.  Your sole remedy is to require A2Z Dynamics (Pty) Ltd to enforce such warranty on your behalf. 11.2 The warranty shall be void if:  Goods are not used in accordance with manufacturer instructions;  Goods are damaged, misused, altered, neglected, or installed or repaired by unauthorised or unqualified persons;  Proof of purchase cannot be provided. 12. Returns 12.1 Returns will be accepted only in the following circumstances:  Within seven (7) days in accordance with Section 44 of the Electronic Communications and Transactions Act;  Within the applicable implied warranty period where goods are defective;  Within ten (10) business days where a delivery error has occurred. 12.2 Returns will not be accepted if goods have been disassembled, altered, permanently installed, or integrated into other property. 13. Returns Procedure 13.1 All returns require prior authorisation and the issuance of a return reference number. 13.2 Return shipping and insurance costs are the responsibility of the customer. Shipping charges are non-refundable unless the return results from an error by A2Z Dynamics (Pty) Ltd. 13.3 Returned goods must be complete, in resalable condition, and include all original packaging and accessories. 13.4 A restocking fee of twenty-five percent (25%) shall apply to returns arising from customer error. 14. Repairs 14.1 A2Z Dynamics (Pty) Ltd does not manage, coordinate, or communicate with manufacturers or repair centres. All repair arrangements and associated costs are the sole responsibility of the purchaser. 15. Uninstallation Assistance 15.1 Installer contact details may be provided upon request. All arrangements and costs associated with uninstallation remain the responsibility of the purchaser. 16. Limitation of Liability 16.1 To the extent permitted by law, A2Z Dynamics (Pty) Ltd shall not be liable for:  Events or circumstances beyond its reasonable control;  Any consequential, incidental, or indirect damages;  Any loss arising from the supply or use of goods. 17. Service Address and Notices 17.1 The service address for all notices shall be the address reflected on the quotation issued for the order. 18. Title and Risk 18.1 Goods are shipped F.O.B. shipping point. Title and risk of loss shall pass to the purchaser upon delivery of the goods to the carrier. 18.2 A2Z Dynamics (Pty) Ltd retains a security interest in the goods until payment has been received in full.
